This law contains some relevant provisions on corporate governance: 

- The approval by the general meeting of the transfer of more than 75% of the assets of a listed company.

- The requirement for listed companies to have at least three independent directors.

- The independence criteria in the corporate governance Code are now considered a necessary but not sufficient condition; possible doubts about independence must be substantiated.

- A professional ban for convicted directors and managers of listed companies, including members of the board of directors, the management board, the supervisory board, the daily management and "other persons in charge of management".
